1. Acceptance
By installing, opening, or using the Uords. application ("Uords." or the "App"), or by using any service or product offered at uords.com (the "Services"), you ("you") agree to these Terms of Service (the "Terms") and to the Privacy Policy. If you do not agree, do not use the App or the Services.
If you are using Uords. on behalf of a child, you confirm that you are the parent or legal guardian of that child and that you accept these Terms on the child's behalf.
2. License grant
Subject to these Terms, uords. LLC ("uords.", "we", "us", "our") grants you a limited, non-exclusive, non-transferable, revocable license to install and use Uords. for personal, non-commercial, educational use on devices you own or control.
This license does not grant you ownership of the App, any rights to the uords. brand, or any rights to redistribute, sub-license, or resell the App.
3. Not a medical device
Uords. is an Augmentative and Alternative Communication (AAC) and speech-practice educational tool. Uords. is not a medical device, is not intended to diagnose, treat, cure, mitigate, or prevent any condition, and is not a substitute for evaluation, therapy, or care by a licensed speech-language pathologist, physician, audiologist, psychologist, or other qualified healthcare professional.
4. No warranty; limitation of liability
The App and Services are provided "as is" and "as available", without warranty of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
To the maximum extent permitted by law, uords. LLC is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or communication or speech-development outcomes, arising out of or relating to your use of the App or Services.
5. Acceptable use
You agree not to:
- Reverse engineer, decompile, or attempt to extract the source code of the App, except where this restriction is prohibited by applicable law;
- Resell, sub-license, rent, lease, or commercially redistribute the App;
- Use the App or any uploaded content (including custom photos and recordings) to harass, surveil, harm, or infringe the rights of any person, including the child user;
- Use the App to violate any applicable law.
6. User content
You retain all rights in any content you create inside the App (custom words, categories, photos, voice recordings, etc.). Because all such content is stored locally on your device and not transmitted to uords. LLC, we do not claim any license to it. You are responsible for backing up your content using the in-app Backup feature.
7. Privacy
Our handling of data is described in the Privacy Policy, which is incorporated into these Terms.
8. Termination
You may stop using the App at any time and delete it from your device. We may suspend or terminate access to the Services if you breach these Terms. Sections 3, 4, 9, and 10 survive termination.
9. Governing law and dispute resolution
These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the App that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, seated in Indianapolis, Indiana, except where prohibited by applicable consumer-protection law and except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual-property rights.
10. Apple App Store additional terms
If you obtained the App from the Apple App Store, you acknowledge that these Terms are between you and uords. LLC, not Apple, and that Apple has no obligation to provide maintenance or support for the App. Apple is a third-party beneficiary of these Terms entitled to enforce them. The App must be used in compliance with the App Store Terms of Service.
11. Changes to these Terms
We may update these Terms from time to time. The "Effective" date above will reflect the latest version. Continued use of the App after a change constitutes acceptance of the updated Terms.
